This document is a general drafting base for GetGadi's transportation-platform operations. Bracketed items above are placeholders and should be finalized by qualified legal counsel before this page is treated as final.

  1. 1.Acceptance and Scope

These Terms constitute a legally binding agreement between you (the "User") and M/s Starbees Logistics ("GetGadi", "we", "us" or "our") governing access to and use of GetGadi.com, the GetGadi mobile application, the GetGadi Partner application and related transportation-platform services. By registering, accessing, submitting a requirement, expressing interest, accepting a Load, booking a Vehicle or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

  2. 2.Definitions

"Platform" means the GetGadi website, applications, software, portals and related digital services. "Shipper" means a person or entity requiring transportation. "Partner" means a truck owner, fleet owner, transporter, vehicle operator or transportation provider registered with GetGadi. "Driver" means a person legally authorized to operate the Vehicle. "Vehicle" means a commercial vehicle offered for transportation. "Load" means a transportation requirement. "Booking" means a confirmed transportation arrangement. "Freight" means the transportation amount agreed for a transaction. "POD" means proof of delivery. "LR" means lorry receipt/consignment note or applicable equivalent.

  3. 3.Nature and Role of GetGadi

GetGadi is a technology-enabled transportation platform intended to facilitate connections, information exchange and coordination between Shippers and Partners. Unless expressly agreed otherwise in a separate written agreement, GetGadi does not own, operate or control the Partner's Vehicle, does not employ the Driver and does not automatically become the carrier, transporter, consignor, consignee or owner of the goods merely because a transaction is initiated or coordinated through the Platform. Physical transportation is performed by the relevant Partner/transport operator subject to applicable law and transaction terms.

  4. 4.Eligibility and Authority

Users must have legal capacity to enter into a binding contract and must comply with applicable laws. A person acting for an organization represents that they are duly authorized to bind that organization.

  5. 5.Registration and Account

Users may be required to provide name, mobile number, email, business information, GST/PAN details, identity information, Vehicle information, bank details and other information reasonably required. Information must be true, complete, accurate and current.

  6. 6.Account Security and OTP

Users are responsible for account credentials, registered mobile numbers, OTPs, passwords and PINs. Users must promptly report suspected unauthorized access. OTPs and electronic confirmations may authenticate actions. Fraudulent, duplicate or impersonated accounts are prohibited.

  7. 7.Electronic Acceptance and Records

Acceptance may occur through checkboxes, buttons, OTP, application actions, website actions, email, messages or other electronic means. Electronic records, acknowledgments, communications and transaction histories may be retained and relied upon to the extent permitted by law.

  8. 8.Current Platform Services

Depending on availability, GetGadi may provide facilities for transportation requirement submission, Vehicle/Partner discovery, rate information, Partner verification, communication, booking coordination, shipment-status coordination, POD coordination and customer/operations support. Features may be modified, suspended or discontinued subject to applicable law and contractual obligations.

  9. 9.Shipper Requirements

A Shipper may provide pickup, destination, Vehicle category, Vehicle size, cargo/material, weight, dimensions, loading date, required time, special requirements, expected Freight and contact information. The Shipper is responsible for accuracy and prompt notification of material changes.

  10. 10.Vehicle Categories

The Platform may display Open Body and Container categories including 14 FT, 17 FT, 20 FT, 22 FT, 24 FT, 32 FT, Multi-Axle and other categories. Actual dimensions, payload and configuration may vary by manufacturer/model. Users must ensure suitability and lawful capacity.

  11. 11.Required Loading Date and Time

A Shipper may specify immediately, today, tomorrow, a specific date or time where available. Stating a required time does not guarantee Vehicle availability.

  12. 12.Rate and Freight Information

GetGadi may display indicative or estimated Freight information, including ranges. Such information is intended to assist decisions and is not, by itself, a guaranteed quotation, final Freight or guarantee of Vehicle availability. Rates may vary due to demand and supply, Vehicle availability, route, fuel, seasonality, cargo, weight, Vehicle type, tolls, detention, special services and market conditions.

  13. 13.Expected Rate

Where enabled, a Shipper may specify an expected Freight. This does not guarantee Partner acceptance, Vehicle availability or procurement at that rate.

  14. 14.Partner Registration and Documents

Partners may be required to provide owner details, Vehicle registration, RC, photographs, insurance, permit, fitness, PUC, Driver licence/details, PAN, GST details where applicable, bank details and other reasonably required documents.

  15. 15.Verification

GetGadi may verify information through documents, databases, third-party services, calls, physical verification or other reasonable methods. "Verified" means specified checks were performed under the prevailing process and is not an absolute guarantee of future conduct, Vehicle condition, Driver performance, timely delivery, cargo safety or continuing document validity.

  16. 16.Vehicle and Driver Compliance

Partners shall maintain registrations, permits, fitness, insurance, PUC, taxes, authorizations and other legally required documents, and ensure Drivers are properly licensed. No User may require, instruct or permit unlawful overloading or unlawful transportation.

  17. 17.Matching and Partner Interest

GetGadi may use technology, automated systems and/or operations personnel to identify potentially suitable options. Factors may include location, route, Vehicle type/size/capacity, availability, destination, loading date and cargo requirements. The methodology may be proprietary and may change. A suggested match or expression of interest is not automatically a confirmed Booking.

  18. 18.Booking Confirmation

A transportation arrangement is confirmed only when the applicable GetGadi confirmation process is completed. Confirmation may be communicated through the app, website, SMS, WhatsApp, email, telephone or authorized operations personnel. An inquiry or tentative match is not a confirmed Booking.

  19. 19.Final Freight and Transaction Terms

Final Freight is the amount communicated/agreed for the relevant transaction. Relevant parties should verify Vehicle, route, cargo, loading date, delivery location, Freight, additional charges and payment terms before proceeding.

  20. 20.Changes to Confirmed Requirements

Material changes to cargo, weight, dimensions, Vehicle, pickup, destination or date must be promptly reported. Such changes may affect availability and Freight.

  21. 21.Shipper Responsibilities

The Shipper shall provide accurate information, lawful and appropriate packaging, required documents, hazardous/special cargo disclosure, lawful loading, payment of applicable charges and compliance with law.

  22. 22.Cargo Declaration and Packaging

The Shipper shall accurately declare nature, quantity, weight, dimensions, value where required, hazardous characteristics and special handling requirements, and is responsible for suitable packaging, labeling and securing unless otherwise agreed.

  23. 23.Prohibited Goods

The Platform shall not be used for unlawful transportation, including illegal narcotics, unlawful weapons, explosives, stolen goods, contraband, unlawfully transported hazardous materials, prohibited wildlife products or other goods prohibited by law. GetGadi may refuse, cancel or suspend such Loads.

  24. 24.Hazardous Goods

Hazardous, dangerous or regulated goods must be disclosed. The Shipper is responsible for legally required declarations, packaging, labeling, permits and safety documentation. GetGadi may refuse such transportation.

  25. 25.Overloading

No User shall require, instruct or permit a Vehicle to carry goods beyond legally permitted limits. A Partner/Driver may refuse an overloaded or unsafe Load.

  26. 26.Transportation Documentation

Depending on the transaction and law, Shippers may provide invoices, e-way bills, delivery challans, permits, declarations and consignee details. The Shipper is responsible for accuracy and legality. Where required, the applicable Partner/transporter shall issue LR/consignment documentation.

  27. 27.E-Way Bill and Tax Documents

Where applicable, the Shipper is responsible for generation, accuracy and validity of e-way bills and tax/statutory documents. GetGadi may assist operationally but does not assume responsibility for documents supplied by Users.

  28. 28.Loading and Unloading

Unless otherwise agreed, the Shipper/consignor and consignee shall make goods ready and arrange required loading/unloading labour or facilities. Loading must comply with legal weight, safety and packaging requirements.

  29. 29.Delivery and Delays

Partners shall make reasonable efforts to deliver to the agreed destination. Traffic, weather, road restrictions, accidents, breakdowns, government restrictions, consignee unavailability, incorrect information and force majeure may affect delivery. GetGadi may coordinate but does not guarantee a particular delivery time unless expressly agreed.

  30. 30.POD

Where applicable, Partners shall provide proof of delivery by signed receipt, stamp, photograph, digital acknowledgment or other acceptable evidence. GetGadi may facilitate collection/sharing but does not automatically warrant authenticity of third-party documents.

  31. 31.Cancellation by Shipper

A Shipper shall promptly notify GetGadi of cancellation or material modification. Depending on the transaction policy and circumstances, cancellation may result in applicable charges, Partner compensation, travel/toll/parking costs or operational expenses.

  32. 32.Cancellation by Partner and No-Show

Partners shall not cancel confirmed Bookings without reasonable cause and shall promptly notify GetGadi if unable to perform. Failure to report without reasonable cause may be treated as a no-show. Repeated cancellations/no-shows may lead to warnings, restrictions, suspension, termination or contractual consequences.

  33. 33.Substitute Vehicle

A Partner shall not provide a materially different substitute Vehicle without appropriate communication and, where required, approval. GetGadi may reject an unsuitable substitute.

  34. 34.Detention / Waiting / Halting

Where a Vehicle waits beyond the applicable free waiting period, detention/halting charges may apply if agreed. The applicable period, rate, evidence and payment responsibility may be specified in transaction-specific terms or a current policy.

  35. 35.Breakdown

In case of breakdown, the Partner shall notify GetGadi as soon as practicable. GetGadi may assist with coordination or alternative transportation but does not guarantee immediate replacement. Additional costs shall be handled under applicable transaction terms.

  36. 36.Accidents, Theft and Cargo Incidents

Following an accident, theft, fire, injury, cargo damage, police incident or serious occurrence, the relevant Partner/Driver shall take reasonable safety measures, contact authorities/emergency services where necessary and notify GetGadi as soon as practicable.

  37. 37.Cargo Loss, Damage and Shortage

Responsibility for loss, shortage, theft, damage or deterioration shall be determined by applicable law, the transportation arrangement, consignment documents, insurance and actual cause/conduct. GetGadi is not automatically responsible for cargo solely because it facilitated or coordinated a transaction.

  38. 38.Insurance

Partners shall maintain legally required Vehicle insurance. Shippers should maintain appropriate cargo insurance where necessary. Where insurance is arranged through a third party, its policy terms govern. GetGadi does not guarantee claim acceptance or settlement unless expressly obligated by separate written agreement.

  39. 39.Payment and Settlement

Payment may involve advance, partial, full, credit or Partner settlement depending on the transaction. Applicable transaction terms determine when and to whom payment is due. Users must not pay unauthorized persons claiming to represent GetGadi.

  40. 40.Platform Fees and Commission

GetGadi may charge platform fees, service fees, coordination charges, commission, subscription charges or other disclosed charges applicable to a transaction. Applicable fees shall be communicated through the relevant commercial arrangement where reasonably practicable.

  41. 41.Partner Settlement and Adjustments

Where GetGadi collects funds and settles amounts with a Partner, settlement is governed by applicable Partner commercial terms. Subject to contract and law, adjustments may include agreed fees, taxes, refunds and valid documented transaction adjustments.

  42. 42.Refunds

Applicable refunds shall be processed according to the current refund/cancellation policy. Refunds may be subject to permitted deductions, transaction charges, taxes, payment gateway processing and banking timelines.

  43. 43.Invoices and Taxes

GetGadi may issue invoices, receipts or statements where applicable. Each party is responsible for its own GST, TDS, income tax and other statutory obligations. Tax treatment depends on the legal and contractual nature of the transaction.

  44. 44.Shipper Conduct

Shippers shall not submit fake Loads, misrepresent cargo, require unlawful transportation/overloading, abuse Partners, manipulate Platform data, misuse Partner information, create fraudulent accounts or intentionally waste Partner resources.

  45. 45.Partner and Driver Conduct

Partners/Drivers shall not submit false documents, misrepresent Vehicle availability, impersonate others, use unauthorized documents, demand unauthorized charges, misuse Shipper information, abuse Users, manipulate ratings/transactions, circumvent Platform controls or engage in unlawful activity.

  46. 46.Fraud and Investigation

GetGadi may investigate suspected fake accounts, Loads or Vehicles, document/payment/identity fraud, false POD, rating manipulation and other misuse. GetGadi may request information/documents and may suspend or restrict an account during investigation subject to law.

  47. 47.Anti-Circumvention

Where GetGadi introduces or facilitates a Shipper-Partner relationship and separate commercial/non-circumvention terms apply, Users shall comply with them. Users shall not intentionally misuse the Platform to avoid agreed GetGadi fees or obligations. Any restriction shall be reasonable, disclosed and subject to law.

  48. 48.Confidentiality

Users may receive confidential information relating to GetGadi, Shippers, Partners or transactions, including commercial information, rates, customer information and internal processes. Such information shall not be disclosed or misused except as authorized or required by law.

  49. 49.Proprietary Technology

GetGadi's software, databases, technology, matching methodology, rate methodology, Partner scoring, internal operations and security methods may constitute confidential/proprietary information. Users shall not reverse engineer, scrape, copy, extract or attempt to discover proprietary systems except where legally permitted.

  50. 50.Intellectual Property

All rights in the GetGadi name, logo, symbol, website, applications, software, designs, graphics, content, databases and trademarks belong to or are licensed to the relevant GetGadi entity. Users receive only a limited, non-exclusive, non-transferable right to use the Platform for its intended purpose.

  51. 51.User Content

Users may upload Vehicle photographs, documents, reviews, comments and other content. Users represent they have the right to upload it and it does not violate law or third-party rights. GetGadi may remove unlawful, fraudulent, abusive or prohibited content subject to law.

  52. 52.Location Services

Certain Platform functions may use approximate or live location for Vehicle discovery, matching, trip status, operations, safety and fraud prevention. Location processing is governed by the Privacy Policy and applicable law.

  53. 53.Communications

GetGadi may communicate through app notifications, SMS, calls, WhatsApp, email, push notifications or other electronic means for service/operational purposes. Marketing communications shall be handled according to applicable law and user preferences.

  54. 54.Records, Calls and Chats

Where legally permissible and appropriately disclosed, GetGadi may retain or record calls, chats, OTP records, booking/payment records, GPS/trip records, documents, POD and support communications for support, quality, fraud prevention, dispute resolution, security and legal compliance. The Privacy Policy governs personal-data processing.

  55. 55.Ratings and Reviews

Ratings/reviews must be genuine, relevant, lawful and non-abusive. GetGadi may remove fraudulent, misleading or prohibited reviews in accordance with policy and law.

  56. 56.Third-Party Technology

The Platform may use third-party services for maps, GPS, payments, OTP, hosting, communications and analytics. Such services may have separate terms. GetGadi is not responsible for independent third-party systems except as required by law or contract.

  57. 57.Privacy and Personal Data

GetGadi may collect and process name, mobile number, email, business details, Vehicle details, RC/licence information, location, transaction information, payment-related information, communications and device information as necessary for the Platform. Processing is governed by the GetGadi Privacy Policy and applicable data-protection law.

  58. 58.Data Retention

GetGadi may retain information as reasonably necessary for transaction records, accounting, taxation, dispute resolution, fraud prevention, security, legal/regulatory compliance and legitimate operational purposes, subject to applicable law and the Privacy Policy.

  59. 59.Platform Availability

GetGadi will use reasonable efforts to maintain availability. Interruptions may arise from maintenance, network/server/cloud failures, third-party outages, software issues, cyber incidents, government restrictions, force majeure or other circumstances beyond reasonable control. Continuous or error-free availability is not guaranteed.

  60. 60.Cybersecurity

GetGadi shall adopt reasonable security measures appropriate to the Platform. No online service can guarantee absolute security. Users are responsible for protecting accounts, devices and authentication information.

  61. 61.Disclaimer of Guarantees

To the maximum extent permitted by law, GetGadi does not guarantee continuous availability, a particular Partner or Vehicle, a particular Freight, a particular delivery time, accident-free or damage-free transportation, or any particular business outcome, except where expressly agreed in writing.

  62. 62.Third-Party Performance

GetGadi cannot control every act or omission of Shippers, Partners, Drivers, consignees and other third parties. Third-party performance remains subject to the relevant party's responsibilities, applicable transaction terms and law.

  63. 63.Suspension and Termination

GetGadi may suspend, restrict or terminate access for fraud, safety concerns, document issues, unpaid amounts, repeated cancellations, misconduct, breach, security concerns or legal requirements. Users may request account closure subject to pending transactions, obligations and lawful data retention.

  64. 64.Effect of Termination

Termination does not automatically extinguish obligations relating to payment, confidentiality, intellectual property, indemnification, dispute resolution, records or legal compliance, to the extent intended to survive.

  65. 65.Limitation of Liability

To the maximum extent permitted by law, GetGadi shall not be liable for indirect, incidental, special, punitive or consequential loss arising from acts/omissions of Users or third parties, Vehicle breakdown, accident, theft, cargo damage, delay, cancellation, traffic, weather, road restrictions, incorrect information or third-party service failures. Nothing excludes liability that cannot lawfully be excluded. Any specific monetary liability cap, if applicable, shall be stated in the relevant written commercial agreement or transaction terms.

  66. 66.Indemnification

To the extent permitted by law, Users shall indemnify and hold harmless GetGadi, M/s Starbees Logistics and their owners, directors, officers, employees, representatives and authorized personnel from claims, losses, damages, liabilities and reasonable expenses arising from breach of these Terms, unlawful goods, fraudulent information/documents, unlawful conduct, negligence, misuse of the Platform or infringement of third-party rights.

  67. 67.Force Majeure

GetGadi shall not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, floods, earthquakes, extreme weather, war, riots, strikes, government restrictions, epidemics/pandemics, major accidents, road closures, cyber incidents, internet failures and nationwide transportation disruptions.

  68. 68.No Agency, Employment or Partnership

Use of the Platform does not create employment, partnership, joint venture or agency between GetGadi and a Shipper, Partner or Driver unless expressly agreed in writing. Partners and Drivers remain responsible for their own personnel, Vehicles and statutory obligations.

  69. 69.Use of Business and Contact Information

Users shall not use contact details, freight information, customer information or Partner information obtained through GetGadi for spam, harassment, unauthorized solicitation, fraud, competitive data extraction or other unauthorized purposes.

  71. 71.Dispute Resolution

  74. 74.Changes to Terms

GetGadi may amend these Terms from time to time. Updated Terms shall be published with a revised Last Updated date. Material changes may be communicated through appropriate means where required. Continued use after the effective date may constitute acceptance to the extent permitted by law.

  75. 75.Severability

If any provision is held invalid, unlawful or unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions shall continue in effect.

  76. 76.Waiver

Failure or delay in enforcing a provision shall not constitute a waiver of the right to enforce that provision or another provision later.

  77. 77.Assignment

Users shall not transfer or assign rights or obligations where prohibited by law or without required consent. GetGadi may transfer or assign rights in connection with merger, acquisition, restructuring, sale or transfer of the Platform/business, subject to law.

  78. 78.Entire Agreement and Precedence
